TO THE FULLEST EXTENT PERMITTED BY LAW, NED AI INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Site
  • Any content obtained from the Site
  • Unauthorized access to or alteration of your transmissions or data
  • Any other matter relating to the Site

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED $100.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

Upon termination:

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Site shall be resolved through:

  • Informal Resolution: First, contact us at ned@ned.ai to attempt to resolve the dispute informally
  • Binding Arbitration: If informal resolution fails, the dispute will be resolved by binding arbitration in accordance with the rules of the American Arbitration Association
  • Location: Arbitration shall take place in Delaware, or remotely via videoconference

You agree to waive any right to a jury trial or to participate in a class action.

14.3 Exceptions

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ned AI Inc. regarding your use of the Site.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

15.4 No Agency

No agency, partnership, joint venture, or employment relationship is created between you and Ned AI Inc. as a result of these Terms or your use of the Site.

15.5 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
